The repurchase plan stated in this report has been approved by the 26th Meeting of the 8thSession of the Board of Directors of ADAMA Ltd. (hereinafter referred to as “the Company”)held on August 19, 2020 and the 3rd Interim Shareholders Meeting in 2020 of the Companyheld on September 7, 2020, respectively.2. Purpose of share repurchase: In order to protect the Company’s value and shareholders’interests, the Company intends to repurchase (and cancel) a portion of its B-Shares (asdefined below), resulting in a corresponding reduction of the Company’s registered capital.3. Type of shares to be repurchased: Domestically listed foreign shares (B shares)(“B-Shares”).4. Method of repurchasing: By means of centralized price bidding transactions through theShenzhen Stock Exchange and/or any other method/s permitted by the applicable laws andregulations.5. Price range: Shall not exceed 5.70 HKD/share (equivalent to 5.10 RMB/share),representing 150% of the volume-weighted average price of the Company’s B-Shares overthe 30 trading days before the approval of the repurchase plan by the Board of Directors ofthe Company (3.80 HKD).6.
